Lake Success, New York, May 14, 2004…Park Electrochemical Corp. (NYSE – PKE) announced that Jerry Shore, Park’s founder and current Chairman of the Board, has elected not to stand for re-election to Park’s Board of Directors at the July 14, 2004 annual meeting of shareholders of Park Electrochemical Corp. In addition, Park Electrochemical announced that the Nominating Committee of its Board of Directors has recently nominated Dale Blanchfield and Steven T. Warshaw for election to the Park Electrochemical Board of Directors at the July 14, 2004 annual meeting of shareholders. The Nominating Committee of the Board also recently nominated Brian E. Shore, Mark Ain, Anthony Chiesa and Lloyd Frank for re-election to the Park Electrochemical Board of Directors at the July 14, 2004 annual meeting. The Board also recently changed the size of the Board from five members to six members in order to accommodate these changes.

Dale Blanchfield has worked in leadership positions in the U.S. printed circuit board industry continuously since 1958. Most recently since 1990, Mr. Blanchfield served as President of The Bureau of Engraving printed circuit board division located in Minneapolis, Minnesota. During his career, Mr. Blanchfield has traveled extensively internationally and established a number of manufacturing partnerships, on behalf of The Bureau of Engraving, with companies in Singapore, Taiwan and China. Mr. Blanchfield retired from The Bureau of Engraving in 2003.

Steve Warshaw has worked in numerous financial and management leadership positions with Olin Corporation (including Vice President, Strategic Development & Finance of Olin Chemicals Group, Vice President & General Manager of Olin Performance Urethanes, President of Olin CIBA-Geigy (OCG) Microelectronic Materials and President of Olin Microelectronic Materials) and Hexcel Corporation (where Mr. Warshaw served as President of the Hexcel Schwebel Division). Mr. Warshaw received a Bachelor of Science in Business Administration and Finance from Northeastern University and a Masters of Business Administration in Finance from Tulane University. It is the intention of the Board, if Mr. Warshaw is elected to the Board at the July 14, 2004 annual meeting, to appoint Mr. Warshaw as the Park Board of Directors Audit Committee Financial Expert.

Jerry Shore, Park’s Chairman of the Board, said, “It is fitting that, after 50 years, I not stand for election to Park’s new Board of Directors. This seems to be a proper time to go! Park has weathered the perfect business storm….Park had set into motion a major expansion program motivated by solid assurances from important global customers only to find the subsequent volume significantly below even previous historical levels. Park’s conservative history, the dedication of its team coupled with strong focused leadership, has brought the Company through this very difficult period still in strong shape so that it can now look to the future with vigor, enthusiasm and confidence. The new Directors, when added to the experienced and existing Directors, will give the Company fresh visibility to the opportunities of the future. I leave the Board knowing that your Company is sound and in honorable and productive hands…hands that will perform well for you, the owners, during these next years. Goodbye, and thank you for your support during these first 50 years.”

Brian Shore, Park’s President and CEO, said, “There is no way in which I could ever do justice to Jerry’s contribution to the company, so I will not attempt to do so. Even the concept of describing Jerry’s contribution to the company is peculiar, because the fact of the matter is that, without Jerry, there would be no Park Electrochemical and there never would have been a Park Electrochemical. Without Jerry, none of us would have jobs and none of the employees who have worked in the company over the last 50 years would have had jobs. Without Jerry, whatever contribution Park Electrochemical has made to the world, would never have occurred. When you think about it, it is really quite amazing how significant an impact one human being can have on so many other people throughout the world. Since there is really no way to properly thank Jerry for what he has created, I will not attempt to do so. Fortunately for me, although Jerry is leaving the Board after 50 years, my connection with Jerry will continue, because, after all…he is my father.”

Brian Shore concluded, “I am very pleased that Dale Blanchfield and Steve Warshaw have agreed to serve on Park’s Board in the future. I know Dale and Steve quite well, and I can assure you that Dale and Steve are highly experienced in their fields and very qualified to serve on Park’s Board, and, most importantly for me, Dale and Steve are men of uncompromising integrity. By the way, I make the comment about integrity not because integrity is in fashion these days or that it is politically correct to have integrity, but because it is true.”
